Contingent on results

Check the arithmetic
Nothing is pre-filled.
§ 2.Plain English
| Term | What the clause says | In plain English |
|---|---|---|
| Fee contingency | Fee accrues only on Attributable Revenue. | No sale, no fee. |
| Holdout | A random slice is not messaged. | We measure what would sell anyway. |
| Approved Information | The AI answers only from approved material. | If it lacks an answer, it says so. |
| Opt-out | A reply of STOP opts the shopper out. | One word and they are off. |
This table summarizes the terms. The written Schedule controls.

| Automated reminder | Convo Rescue conversation | |
|---|---|---|

| 3 | The cart expires. | Gaps pass to your team. The order is measured against the Holdout. |
§ 6.Exhibits
Hi, you have 24 filter packs in your cart. Can I help?
Do these fit the Model 400 and the Model 500?
The approved list names the 400 and 450. The 500 is not on it, so I cannot confirm. I can ask the store's team.
Thread passed to the store's team.
Is there a code? I'm ordering for the whole team.
I have no discount to offer. The store has not approved one.
Not even for volume?
Volume pricing would come from the store's team. I can ask.
Open saved cartYour cast iron skillet order is confirmed. Any questions about care?
How do I keep it from rusting?
The care guide says to dry it and rub on a thin layer of oil.

Hello, this is an AI assistant calling about the 24 filter packs in your cart. Good time?
Go ahead. Do they fit the Model 400 and the Model 500?
The approved list names the 400 and 450. The 500 is not on it, so I cannot confirm.
Call ended. Question passed to the store's team.
§ 8.Covenants
Nothing is sent that you have not approved.
The AI does not guess or promise what it was not given.
No answer? It says so and hands to your team.
Only permitted shoppers. STOP is honored.
You can read every message.
§ 9.Questions
From Approved Information: product and policy details you supply and sign off on, plus the shopper's cart, checkout or order. Nothing else.
It says so. It will not guess. The thread can go to your team and the exchange stays in the log.
We count an order traced to a reply, a checkout link click or a code we sent, inside the Window. A random Holdout is not messaged, and the fee applies to the incremental part.
25% of Attributable Revenue, written into the Schedule before launch. No sale, no fee.
No. A sequence repeats fixed messages. Here a shopper can reply and get an answer, and the conversation carries on.
You approve what it may say, whether any offer is allowed and when messages go out. You can read every message.
Shopify and ecommerce stores run by people who would hire an agency or reps if paid only on closed revenue.
We scope it with you. Setup is usually short, and the Schedule is written and agreed first.
Messages go only to shoppers the store may contact. STOP is honored and quiet hours are respected. What the store may send is for your own advisers to decide.
Early access, on request, under the same Schedule: messages and calls both count toward Attributable Revenue. The AI says it is an AI. Consent for calls is the store's to collect, and do-not-call requests are honored.
Conversations run on iMessage. If a shopper's device cannot receive it, a fallback channel is used.
Nothing binds either side until the Schedule is written and agreed. How either side ends the arrangement is written into it before launch.

A revenue band is enough.
